David Glod

Mine is wide-raging general corporate practice, particularly focusing on entrepreneurs, start-ups, and small to mid-sized businesses. On the transactional side, this includes business organization and financing, mergers and acquisitions, and contracts. I also handle civil litigation, including contract disputes, tort actions, collections, and title claims. I have tried cases before juries in both state and federal courts. Finally, and particularly in light of recent regulatory changes affecting investment advisers and broker dealers, I have expanded my practice to encompass regulatory and compliance matters affecting those types of clients.

Representative Matters

• Regularly counsel investment advisers and broker-dealers in registration and compliance matters, including enforcement proceedings. 
• Regularly advise startups and small businesses in matters including entity formation, structuring, governance and financing.
• Represented management team in a $10 million buyout of assets from a publicly traded marketing company.
• Defended private utility company in class action lawsuit brought by consumers for alleged improper response to emergency.
• Represented industry-leading software and services vendor in a complex dispute with a competitor, involving theft of trade secrets by competitor and client’s former employee.
• Appeared before the Massachusetts Supreme Judicial Court in Bevilacqua v. Rodriguez, 460 Mass. 762 (2011), representing a homeowner with a title defect arising from the landmark ruling in U.S. Bank v. Ibanez (2011). I continue to represent homeowners and lenders whose titles are jeopardized in the aftermath of Ibanez and its progeny.
