Description: Two partners, longtime friends, were developing a business to sell books that were created by people online. They needed to determine their business strategy, their business objectives, establish roles and responsibilities, select strategic partners, establish distribution and market their product. I helped them define the boundaries of and document their business roles through a partnership agreement, and define their business goals through a strategic plan. I provided ideas for marketing, strategic partnerships, charitable connections, and set up meetings for them to meet key individuals in some of these areas. Because the business is Web-based, I drafted their privacy policy, their terms and conditions, policies regarding online forums and collaboration tools, copyright and trademark policies, and various other online user agreements and policies for their interactive website. I also drafted the agreement for their web development/design company, including work-for-hire considerations to protect their intellectual property. I then provided further counsel on marketing their products, target markets and users.
