Florida Not-for-Profit Corporate Officer Requirements- CAN A SINGLE PERSON BE THE SOLE DIRECTOR AND OFFICER OF THE NON FOR PROF.

    Beth’s Answer

No, Florida law requires that a Non-Profit's Board of Directors consist of no less than 3 Directors. (See Fla. Stat. 617.0803). A single person can, however, serve as both a Director and an Officer of a Non-Profit Corporation as long as there are at least 3 members on the Board.
