Legal advice on LLC (limited liability company) in California

I went into a Written and verbal agreement with a business under my personal name before my LLC was formed. If I sue them for breach of contract and they counter sue me and I personally have no money or assets can they come after my LLC even though it had not been created prior to my doing business with them?

ADMISSIONs QUESTION - Can one ask a party to admit IF another party made a particle statement on a call all 3 parties were on.? Or is that heresy? Three people on a call A B C - can C ask A to admit that B made a particular statement (whatever it is) OR is that not allowed and or considered heresay ?

For reference I am a 21 years old who entered a contract with a business advisor. The business advisor Baar the monetary potential of my business and decided to ask me for 50% of the company. When I denied her request for 50% and offered a more reasonable percentage used retaliatory language in that same discussion and told me she wanted her expenses paid in six months. I declined telling her we already have a contract in place and you can’t make a contract after the fact and on the spot. I’m the only one who has been with this idea since conception which was 10 years ago. In our original contract that expired Feb 2022, because she wanted to do it in 6 month increments, states she shall receive 10% of 1st round of funding in event of funding. She continued to work with me through the summer we were supposed to negotiate another contract however we never did. She formally resigned from the company in November. It’s now a year later and she is trying to trap me and manipulate me by saying I agreed to pay her expenses in a year. Which I never did I also asked for an itemized statement last year just to get a good look and evaluate and was never given such.

In 06/2016 XYZ LLC (plaintiff "pltf"), an original company formed&in 12/2016 it "converted out" of CA.to another State.After, it loaned moneyto defendant("Dfdt")& it was secured by dfdf's propty& dfdt defaulted.In 01/2023, it served dfdt Notice of default& after90 days04/2023,it served notice trustee sale.XYZ LLC original pltf foreclosed(f'clsed) on dfdt on 5/16/2023.On03/2023, Dfdt's mother registered a new CAcompany entity with same name "XYZ LLC" since no other company operated under that same name inCA. XYZ LLC original pltf is in that converted out, is inactive in CA & cannot re-register, revive, renew to active status in CA under same name.XYZ LLC name is not available in CA;&dfdt's mother took it.There is clear distinction between "converted out"&inactive status w/CA. SOS.gov, Pltf can renew but onlyunder different name in CA.Dfdt argues that b'cos XYZ LLC original converted out & isnow inactive in CA,by SOS.gov when f'clsure was conducted, f'closure by"XYZ LLC original( Pltf) is void&therefore pltf had no standing,authority to f'close.Do you agree,why?Is this forged title? Dear Attorneys: I, my daughter, and my mother have an LLC registered in California in 2018. My daughter and I are initial members, my mother is additional member (in 2019). The LLC acquired a house in 2019. Due to Covid-19 and other reasons, the LLC has not made any profit and almost no business activities. We filed and paid tax annually. We did not hire employees, and owed no debts. Now, we want to close this LLC and transfer the house to three of us. None of us is married presently. My questions are: 1. Is it possible to transfer the title of the house to 3 of us? 2. Can we be tenancy in common for this house (ownership equal to shares in the LLC)? Thank you so much.

I have a 20 % partner of an LLC. In which he is breaching our operating agreement, which we will be able to dissolve LLC. I want to continue with my business in that location. The problem is that the 20 % partner has the lease to his name. Can he evict us? We will be talking to landlord to include us in lease or possibly take over lease. If we were adding with him to lease Can he still do anything to us?
