Legal advice on H-1B employer obligations

I am on h1b visa. I build software and a company is interested in buying my software. How can i start my own company and run the business and also how i can apply for green card and switch over from h1b. Please let me know what would be the appropriate and legal approach.

He needs 3 of his employees to move to the USA to work for this company that he is planning to open. But he does not have idea about how the immigration process going to work and how much the lawyer cost going to be for the opening a marketing company and immigration process. (b) Obligations to the Company. During your Employment, you shall devote your full business efforts and time to the Company. During your Employment, without the prior written approval of the Company’s Chief Executive Officer, you shall not render services in any capacity to any other person or entity and shall not act as a sole proprietor or partner of any other person or entity or own more than five percent of the stock of any other corporation. Notwithstanding the foregoing, you may serve on corporate, civic or charitable boards or committees, deliver lectures, fulfill speaking engagements, teach at educational institutions, or manage personal investments without such advance written consent, provided that such activities do not individually or in the aggregate interfere with the performance of your duties under this Agreement. You shall comply with the Company’s policies and rules, as they may be in effect from time to time during your Employment.

I have an offer from a startup to be the CTO for a product company currently in the process of being incorporated. It will initially have 3 members CEO, CRO, COO and hire me as the 4th employee as the CTO and sponsor h1b. Its going to be a pure technical product based company and they want me to develop the entire technology needed for the product for which I have a very strong background. I have a MS in computer science and 8+ years of experience. The company will have ~150k-200k in funds and will pay me market rate (lot more than h1b prevailing wage). The CEO also has a sound personal networth and willing to put more if needed. What are the chances for h1b approval and how complex the petition can get?
