Legal advice on Business in Wyoming

I opened a LLC last september with a partner of mine. We so far do not have any business activity. No revenue, no profit. We have only been working on logistics and business plans. I did open a couple of credit cards for my company, and I am the personal guarantor. I also opened a business bank account, but as of now the balance is in zero. We do not have any expenese or credits to claim. The information I have gathered is that for my case is not needed. But I want to make sure that I am not missing on anything. Thanks all!

I'm manufacturing in California then sell through Amazon and internationally. my questions: 1- Do i need to issue reseller certificate when i'm buying the raw materials and send it to California ? should be issues at California or WY? 2- if i get the certificate it means i need to collect sales tax from customers ,is it applied for international sales or only USA Sales? 3- For USA Sales. marketplace will collect it or me who have to pay later and consider this on the price?

My wife signed a non-compete agreement with her former employer. When he presented the non-compete agreement he made a comment that the agreement is basically unenforceable. He has his attorney create these non-compete agreements. He then asks his employees to sign them after they become licensed. He acts as if its just some kind of administrative process, no big deal, the agreement is basically unenforceable. What he gets out of these agreements is discounted labor as to what the market pays. So he likes to use them because he entraps his employees with these agreements getting them to accept sub-standard wages and then that discounted labor ends up being a reduced expense which ends up being more money for him. He prevents his employees from going out in the market and getting paid for what they are worth. He knows they are unenforceable and the person can comply with them or they have to pay to get out of them which could be pretty steep around 25 k or more. If a person creates a contract knowing that the covenants are not really valid in order to extract something from somebody ie cheaper labor and prevent competition then is that a crime of some sort? Fraud, extort

we are two people based in Dubai and Cairo. we need to establish our LLC to protect our brands and in three years we can have an established business in USA. currently, we are operating and selling outside of the USA but we manufacturing in the USA. we are working on health supplements. need advice on which taxes we will be eligible to? better to have an LCC as a branch of our existing business, or new company is a better option with an agreement with an existing one out of the USA?

A man befriend me on facebook and after some time we made a deal on some very rare and expensive Michael Jordan and Kobe Bryant collectors cards worth around $50k easily. Now he hasn’t paid me the original $2500 promised and also stole all my rare cards from me and laughs at me and says there is nothing I can do about it, when I was doing it to not only help him out, but I was really only selling them to help pay my moms cancer medical bills. He taunts me about it and i’ve filed an IC3 and sent the info to the police chief in Elk Rapids Michigan. It seems like no one will help me. He committed federal wire and mail fraud and grand larceny against me and I’ve been trying to figure out what the best thing I can do to get justice for these crimes is and try to recover my money and assets and push full charges against him. One of the members of our LLC signed a document stating that if they committed any conduct that was detrimental to the company they would be entitled to nothing. They have gotten us involved in a lawsuit. Although we were able to successfully navigate this, we would like to remove them from the LLC. What is the best way to go about this so that we can continue operations and not worry about the former member trying to pursue legal action in the future.
