As the title suggests this is a guide on how to construct a basic release and more particularly a video release. Nevertheless, an attorneys help is usually preferred if you want to make sure the document you create suits your intended purpose.
Title and Date
Simple, make sure your agreement is properly titled and has a place to write in the date that the agreement is signed.
Identify the Parties
This paragraph needs to identify the parties. In a music video release I prefer the titles, The Recorded Party and The Released Party. The recorded party is the person signing the release, you may put a blank for this name to be written in. The released party is the party to whom the rights are being released to. They may be a company, a videographer, an aritst or label.
Identify the Transaction
In the same paragraph as the identification of the parties, and in the paragraph following is usually where the deal or bargain is expressed. The agreement might say "Recorded Party grants to Released party all rights in the video, images, and voice content including rights to copyright, publish, or release." This element of the agreement is vital and can vary; certain agreements might want to expand the language in various ways.
Representations and Warranties
This section is one way of securing the promise with an additional assertion by the Recorded, and optionally by the Released. Each party may warrant certain things. For example, the agreement might state "The Recorded hereby represents no other parties permission is necessary for the grant of rights made in this agreement", or "Released Party hereby warrants that the content will not be used in any manner except in conjunction with the music video ______ " The parties may further release each other from all claims, or may agree to mediation, or jurisdiction, or any number of other things in this element of the agreement.
Signature and Address
This section is the signature block. It can also have a date blank. I also usually include an address blank so as to better indentify the parties.
