Without having specific information as to the exact nature of services involved, generally speaking, the answer may depend on who is compensating you for the referral. If you are only receiving fees from one of the parties, a contract between you and the party which is compensating you for the referral may suffice. If both parties are compensating you, then either a triparty agreement or separate agreements between you and each party could both be feasible. The key issue in determining which way you go is (a) from which party are you receiving compensation and (b) the types of services being provided under the referral arrangement.
You will probably need contracts with both parties. You will need to maje sure there is proper disclosure of referral fees abd also that you are protected and indemnified if the client is not satisfied with the referred service.
Without additional information it is difficult to answer your question.
In addition to having the proper agreements in place, you are going to want to make sure you are abiding by any state or federal laws in regards to your services.
Your question is vague because you do not disclose what type of services. In any event, I suggest that you consult with an attorney who deals with new business start-ups.
