You will need an experience attorney that has experience in the sale, transfer and acquisition of commercial enterprises in Texas. The person should have experience in corporate formation to protect you from personal liability. He or she should also have experience in the sale and purchase of a business, including experience in drafting a Sale/Purchase Agreement, Bill of Sale, and security issues, UCC filing and other related documents if there is seller financing. Lastly, the person should also have experience in review commercial lease agreements. Beware of the existing lease agreement, especially if the lease is about to end or will end within a couple of years. Again, please contact an experienced attorney to consult on this matter.
