We are a delaware incorporated (C corporation) bootstrapped tech startup. We have won several startup awards recently. We will be approaching VCs for funding in 2017. In the meantime, few friends have expressed interest in investing in the company. We are planning to raise about $80-100K from 4 to 5 friends. We plan to issue "Convertible Equity" to these friends at a discount when we raise funds from VCs in 2017. Few friends are non-US citizens residing outside US.
We are planning to issue stock options to employees also and need to draft vesting agreements and file section 83 (b) letters to IRS.
