How do I set up a corporation and a doing business name to protect myself in every state/on a national level?: I want to start a retail business that will utilize popup retail model. I will be in different cities across the country for a few days at a time. Therefore I need name protection that will protect me in each location. I also plan on selling online and I would like to protect my name online.

I currently don't have a name for my business, but I want to learn what steps I need to take and how I can search to find out if a name is taken.

Richard’s answer: I wholeheartedly agree with my colleague.

There are a lot of things to consider in your circumstance. They are, in no particular order:

1) Where will you call "Home" for the purposes of taxes and the primary location of your entity?
2) Are the types of services being offered covered by sales taxes in the locations you will be setting up shop? If so, there are likely jurisdictional options that would save you some money if you didn't want to register to do business within that state.
3) What is your brand? Is it protectable?
4) What are your more long term plans and objectives?
5) Does the vehicle you're going to be traveling in have "Commercial" insurance?
6) Does your product or service have any warranties (implied or expressed)?

There are more considerations, but I wanted to give you an idea of the things you would likely be discussing with a business attorney.

How can I form a LLC in Florida anonymous for my virtual assistance company?: Is there a way to form a LLC and be anonymous in florida. A Florida registered agent said I could use their service and they can use the verbiage "Please Omit From The Records" is this true?

If I can't do that, can I form my LLC in Wyoming and operate in my home in Florida. I'm currently in the process of obtaining a professional license in Florida and notary. How can I go about this the correct way?

The reason I would like to keep my information private is because of my ex-boyfriend and father, who are both criminals and won't leave me alone. I like to live in peace

*by the way I'm starting a virtual assistant service online.

Richard’s answer: I agree with my colleague.

In short, what you're asking is for pointed advice on how to accomplish a task that takes some time to learn, and can have some dramatic consequences if done incorrectly.

The only bit of advice I would give would be that, it is possible, that Florida isn't even the best jurisdiction for you to form your entity. There are plenty of other options available to you that may accomplish your goals from a privacy, liability, and tax perspective. All of these answers can only be garnered by speaking with an experienced business attorney in your area.

Referencing previous company in new company website : I recently incorporated a company in Florida and referenced my previous company which I am a still partner in the company. I called the company our “sister organization”, and said “through our sister organization we(new company)have been doing business”

The sister organization is currently dormant but not yet dissolved.

Question: is it proper to say this since my organization is still fresh and has not actually been doing business per say in the past?- rather I am the one doing business with the previous organization

Richard’s answer: I agree with my colleague.

There are ethical and legal questions embedded in what you're asking. As a fellow business owner, I'd recommend asking yourself if you are being truthful with your potential clients. In many circumstances, the simplest answer is the best answer.
