I specialize in real estate law with an emphasis in residential and commercial real estate sales and acquisitions, development, leasing and financing. My real estate experience covers all types of properties, including several of the highest priced residential sales ever recorded in Aspen, and other types of residential, commercial and ranch properties.
I represent buyers and sellers in all phases of real estate sales, from initial contract review and negotiation, contract execution, due diligence and closing, including review and evaluation of title and survey matters, physical inspections, septic use permits, engineering reports, environmental studies, land use and entitlement matters, transferable development rights (TDRs), affordable housing credits and employee housing deed restrictions.
I have expertise in entity formation and financing, including structuring and documenting partnerships, limited liability companies, corporations (including S-corps) and joint ventures.
I represent developers in connection with the subdivision process, subdivision exemptions and other land use and zoning matters including planning and establishing complex mixed-use common interest communities and condominium projects, preparation and negotiation of construction contracts, architectural contracts, property management agreements, obtaining permits and licenses, preparation of condominium maps, condominium declarations, protective covenants, and home owners association documents.
I have extensive experience negotiating and drafting commercial and residential leases.
I also represent lenders (including national, regional and local banks) and borrowers in connection with all aspects of commercial lending, including the negotiation and preparation of loan documents, due diligence, closings and opinion letter practice.
My business clients rely on my expertise, knowledge and counsel in connection with issues and contractual matters that arise in their day-to-day business affairs.
I have experience representing buyers and sellers of local and regional businesses, including transactions structured as the sale and purchase of assets and the assumption of liabilities, as well as the sale and purchase of stock, membership interests and partnership interests.
