    You should consult with a lawyer and bring any relevant written contracts or documentation between the parties. You may have certain causes of action that you could bring against your former partner ranging from a derivative lawsuit on behalf of the business entity for things like breach of fiduciary duty and duty of loyalty to the company or a lawsuit directly against your former partner. Depending on the contracts, or lack thereof, venue could be proper in Tennessee, California or another state.
