      <title>If a private lender owes subs &amp;amp; is foreclosing on me, can the subs file mechanic's liens AFTER foreclosure and/or deed in lieu?</title>

      <description>I bought a house to rehab with financing from an incorporated local private lender. He is responsible for paying the subs directly.

The lender has filed foreclosure against me and the project has stalled. The lender seems willing to accept a deed in lieu of foreclosure; however, when he does this, he puts the deed in the name of his friend's LLC.

There are four vendors who need payment totaling roughly $5k. I want to make sure they get paid. If I advise them to file mechanic's liens now, the lender will simply forgo the deeds in lieu and proceed to foreclosure, wiping out the liens since the mortgage is currently upside down.

However, if I give him the deeds in lieu, can the vendors file mechanic's liens after ownership has transferred to a supposedly unrelated third party?</description>

I was under a deadline for bank financing and needed the job to be completed. They stopped showing up and did not return my calls.  I thought they quit. I finished the job myself.  Now that the job is done they are asking me for the rest of the money.  Do I have to pay them?</description>

      <title>Pre-incorporation cost and business structure question.</title>

      <description>I have been preparing to launch my web application (a website) for 2 years. I spent about $50,000 USD on developing and testing the website excluding my salary. 

What can I do with these pre-incorporation costs? To reflect this loss on the financial statements, do I have to buy a shelf company that is older than 2 years? Or Do I just incorporate a new one and include this already incurred cost? 

My question regarding the business structure is: 
I am planning to incorporate an LLC as a holding company and incorporate an operating company (INC.) for this website as I am expecting equity investments, and I plan to add more operating companies. Is it true that dividend to the parent company that wholly owns the operating company is tax-free?</description>

      <description>I have a concept for a movie which I originally developed about a year and a half ago. I have a documents definitively stating this. Recently, I met someone who wanted to help me produce and sell the concept to a production company. It was a verbal agreement, but no contracts were ever drawn up. He tried to get it off the ground, but things have not worked out and I want to move on and sell the project myself. Since there was never a contract signed by me stipulating that this other person was entitled to any rights / percentage of the project, am I free to walk away and pursue it on my own? Should I worry about emails (which are vague at best) that might prove he is entitled to rights to the show? Are emails sufficient even when I have last year's contract to prove the idea belongs to me?</description>

      <description>So I agreed to accept a contracting job from a company that verbally offered to pay me $500 per project. ( logos, banners, website-concepting, Brochures and print ads). But I made the mistake of not having them sign a contract since a friend from the company hired me on.
Fast forward 2 months later. After working endlessly day and night at times designing art-work for this company. I completed all the mentioned projects above.They use my art-work (brochures, banners, print-ads) at a home audio convention in Colorado. But only to have my friend that worked at the company hand me a FINAL paycheck of only $300 a week after the convention, and to tell me that the company lost more money advertising and that they were shutting it down.
I dont know what to do. I feel as ive been ripped off.</description>

      <description>For two years I rented an apartment with old, unfinished wood floors.    I had a plant that leaked water onto the floor and damaged it.  I know I have some responsibility for this, but the landlord is planning to keep my entire deposit ($1175) to repair the floor.  Does this sound reasonable?  

Again, I'm willing to take some responsibility, but this is a floor that needed sanding and sealing before I moved in and I don't feel comfortable financing the whole project.

      <description>partner and I accepted a project that paid 250k. The client failed to pay us. However for the year that we worked on the project, we racked up some 60k in credit card debt. My partner, aware at all times of the finances and how they were allocated sued me for the debt alleged fraud and that he wasn't aware of the expenses. I e-mails detailing finances sent to him and replied to by him. He had a nest egg put up, and I lost everything on this deal so when he filled  I couldn't hire and can't hire rep to fight it, so he was given a default judgment of 60k in debt and 500k in punitive CFO was included in suit and got free help from a family friend...their still litigating.I have proof he's lying &amp;amp; no money for lawyer. I CAN afford chap7??? what are my option???</description>
