Will an LLC protect our rentals if the other rentals we have with a partner go into forclosure, they are not part of our LLC?

My husband and I have rental properties in an LLC; however, we also have rentals with a partner that are not part of the LLC. The properties we have with a partner are not doing well and may go into forclosure, will the properties my husband and I have in the LLC be protected if the properties get forclosed on and the bank doesn't get the money to cover what is owed them?

Is it legally safe to run a online classifieds website as a sole proprietorship?

I am setting up a classifieds website, and I want to know whether starting out as a sole proprietorship is legally wise. If the website is sued for anything, would the proprietor be completely responsible?
Of course, there would be disclaimers and terms of use on the website, but I don't know how much protection those things would yield. The probability of this happening is relatively low, but I would like to as legally bulletproof as possible.

Do I have claim to my initial investment after terminating an LLC in California?

I own a small retail shop, formed as an LLC in California, 50/50 with my ex-girlfriend. She didn't invest any capital in the business and our operating agreement states this. The operating agreement also indicates that I invested $50k. If we were to liquidate and dissolve, would I have a legal right to collect my initial capital investment?

Please advise on business law suit

We in 2005 my husband and I sold our shares of our business in Georgia to our business partner b/c my husband got a job offer in North Carolina. While we were in business we had a lease on video equipment to monitor the building. In 2006 our business partner sold the business that has now undergone several additional changes in ownership. Apparently after our business partner took over the business in 2006 he stopped paying the lease. Now the company has tracked us down to North Carolina and are suing us for the amount due, our home and all other assets we may have. I need to also state that my husbands name/signature was on the original lease. Please advise.

Is a person who invests money into an LLC entitled to be paid back if no loan agreement was ever created or signed?

I am the sole member of an LLC. A friend put money into the LLC. No paperwork was ever created or signed stating that I need to repay this investment. When the LLC filed taxes in 2008, he insisted on being listed as a partner (and is listed as one) so that he could write off the money that he put into the company. I'd think that in order for him to be considered a partner, he would have to be listed as a member of the LLC, and he is not. He is now emailing me constantly wanting me to meet with him to create a loan agreement. The LLC was dissolved earlier this year. Because I won't meet with him to create and sign a loan agreement, he is threatening legal action. Is there anything that I stated here that would indicate that he has a right to expect to be repaid for his investment?
