I serve as in-house general counsel for companies that need experienced, company-integrated legal counsel but aren't able or ready to hire a full-time GC, as well as companies that need an interim or transitional GC. I have served as Interim General Counsel of HaloSource, a private clean-tech company, Acting GC of Targeted Genetics, a public biotech company, and Interim GC of Sound Physicians, a private hospitalist company, and am currently assisting InfoSpace, a public online search company, with SEC reporting. I previously served as General Counsel of Insightful, a public software company; as Associate General Counsel of drugstore.com, a public online retailer; and as an associate in the law firms of Orrick, Herrington & Sutcliffe (where I co-founded the Seattle corporate office with 4 other attorneys) and Perkins Coie. In my private practice, centered on technology and life sciences, I focused on public and private securities offerings, M&A and other strategic transactions, securities law, and general corporate matters.
I am an experienced attorney and business leader with over 11 years of law-firm and in-house experience with both public and private companies. I have a broad base of knowledge and substantial hands-on experience in diverse fields, including public company reporting and compliance, contracts and licensing, M&A (both buy and sell sides), public and private equity offerings and other corporate financings, IP protection, employment law and HR, international operations, software, life sciences, Internet retail/e-commerce, government grants and contracting, and general corporate, governance and regulatory compliance matters. I am recognized by clients and peers for my ability to understand the business, appropriately weigh business and legal risks and provide creative, practical solutions for complex business and legal issues.
Until 2003, my name was Ann McGuire.
