I chair the Technology Transactions practice in Wilson Sonsini Goodirch & Rosati's Seattle and Austin offices. I advise clients on intellectual property issues and transactions involving the development, acquisition, use, or exploitation of technology. I represent companies at all stages of growth – from promising start-ups to industry-leading, multinational public companies – in an array of technology sectors, including cloud, mobile, software, software-as-a-service, hardware, video gaming, social networking, semiconductor, media, e-commerce, and alternative energy.
I structure, draft, and negotiate a broad range of commercial agreements, including customer, distribution, licensing, research, development, manufacturing, supply, and marketing agreements. I counsel clients on a variety of intellectual property issues, including intellectual property portfolio strategy, open source compliance, standards body participation, and settlement of intellectual property litigation. I also advise clients on intellectual property issues in mergers, acquisitions, intellectual property purchases, divestitures, public offerings, and investments.
My experience includes:
• Distribution and sales channel relationships, including reseller agreements, original equipment and original device manufacturer agreements (OEM/ODM), and sales referral agreements.
• Manufacturing and supply chain arrangements, including contract manufacturing agreements.
• Open source matters, including compliance audits, analysis of third party audit reports, remediation of compliance errors, establishing internal policies, launching open source projects, and structuring open source or “dual licensed” business models.
