Josh Becker, an Attorney based in the firm's Scottsdale office, is
Of Counsel to the firm. Mr. Becker has been practicing law since 1998.
He has primary responsibility for the firm's franchise and distribution
practice group and also practices in the firm's intellectual property
litigation practice group.
to joining the firm, Mr. Becker was Senior Vice President &
Assistant General Counsel for Kahala Corp, the national franchisor for
such brands as Cold Stone Creamery, Blimpie, and Great Steak &
Potato. In that capacity, he directed and managed litigation and
trademark activities; insured corporate compliance with FTC Guidelines
and state registration laws; assisted in developing and implementing
corporate, franchising, and employment practices and policies; drafted
and negotiated license, distribution, and purchasing agreements; and
counseled company leadership on legal compliance and company policies
and procedures. Mr. Becker also served on the company's Executive Team
and was a key figure during the company's period of meteoric growth.
Becker represents franchise clients on developing and revamping
franchise programs, drafting franchise, license, and development
agreements and counseling franchisors with regard to the franchise
sales process and regulatory (UFOC and FDD) compliance. He also advises
franchisors with regard to all aspects of the franchise relationship,
including operational compliance, enforcing system standards, default,
termination, renewal, workouts, transfers, remodeling/reimaging, debt
restructuring, acquisition of franchised outlets, sale of
company-operated outlets and sale of franchise systems. Mr. Becker
prepares a broad range of agreements for franchisors, including asset
purchase agreements, advertising co-op agreements, assignment
agreements, workout agreements, confidentiality agreements, promissory
notes, fee deferral and/or abatement agreements, guarantees,
termination agreements and renewal agreements.
Becker also has considerable litigation experience and routinely
represents clients in franchise and intellectual property matters. His
litigation experience includes arguments and trials before state,
federal and appellate courts. Mr. Becker has represented several large
national franchisors in contract, business tort, intellectual property
and government regulation disputes typically encountered by such
clients. He has also represented numerous Fortune 500 companies in
commercial and tort matters.
