About Me


After finishing up my JD/LLM (in tax), my legal career began in the mergers and acquisitions group of a large firm in San Francisco.  Over the course of the three years that I worked for that firm, I advised private equity and corporate clients on a wide variety of transactional matters across many different industries.  In this role I became a specialist in transactional tax and sophisticated business planning.  Although I enjoyed the resources and excellent training that a large firm can provide, I became tired of San Francisco and the bureaucracy of a large organization, and decided to strike out on my own in Austin—which ended up being one of the best decisions I’ve ever made.


Since arriving in Austin in 2010, I have been acting as general counsel to several local businesses, have an of counsel relationship with a local boutique transactional firm, and manage my own growing practice.  In these roles, I advise my clients on corporate, tax, and commercial matters, generally relating to entity formation and business planning, mergers and acquisitions, employment issues, corporate governance and compliance, and other general counsel services.  While small to mid-sized companies typically do not have the resources needed to hire an attorney on their staff to serve as general counsel, they often have significant legal needs that are vital to their continued success.  


When in a “virtual” general counsel role, I advise on a wide range of matters, generally intended to protect the company and its owners from liability and ensure operations are being conducted in the most advantageous manner. However, when appropriate to litigate, I ensure comprehensive legal representation is available to my clients—using my large network of attorneys, I often locate outside representation on behalf of my clients, and then negotiate a representation agreement on their behalf.  Utilizing my low overhead costs and network of attorneys, I am able to provide comprehensive legal solutions, and do so at a very competitive price.
