Keith D. Kohlhepp

Keith D. Kohlhepp’s practice focuses principally on representation of individual and institutional clients in the securities, mergers and acquisitions, and corporate governance areas. He handles all aspects of corporate governance pertaining to compliance issues, and statutorily required filings and related notices, as well as counseling compliance with respect to Hart-Scott-Rodino filings. Mr. Kohlhepp also has considerable experience negotiating and drafting confidentiality agreements in connection with acquisitions for private equity clients and in preliminary due diligence inquiries between and among potential joint venture parties. He also assists clients in the negotiation and structuring of the sale and leasing of corporate aircraft, together with structuring entities used to purchase such aircraft.
