About Me

“Though I engage primarily in complex transactional work, my objective is actually pretty simple: to help clients identify the business and legal risks of a deal, and once they’ve decided on the level of risk they’re willing to accept, I make sure that it’s incorporated into the transaction.”

As a partner at Hellmuth & Johnson and a member of the firm's information technology and e-commerce practice group, Kate Andresen brings well-honed business and legal experience to clients ranging from start-up technology companies to Fortune 50 corporations. She practices primarily in the following areas:

  • Information technology law

  • E-commerce law

  • Intellectual property

  • General corporate

In addition to assisting her clients with their technology licensing and other transactional needs, Kate has focused her practice on representation of regulated entities subject to Federal privacy regulations such as HIPAA and the Gramm-Leach-Bliley Act.

Prior to attending law school, Kate was a systems engineer who designed and coded software applications. Consequently, she is able to understand clients' technology at a level of detail that provides depth in her assessment of both the business and legal considerations for the technology license.

Her practice provides the following types of services to clients: Licensing, Complex Licenses, including SOWs and support services, Client-hosted, ASP and Software as a Service (SaaS) agreements, Database Development/ Hosting, Software Development, Joint Development (shared IP), Source Code Escrows, Hardware Purchase/Lease, Open Source, Internet Agreements, Website Development, Terms of use; browse-wrap and click-wrap, Privacy Policies (both regulated entities and unregulated entities), Internet Service Provider, Hosting, including cloud computing, Technology Agreements, Co-branded products/ services, Professional Services, Outsourcing, Disaster Recovery/ Technology Support, Data Privacy and Data Security, eCommerce Services, Service Level Agreements (SLA's) for systems maintenance, B2B and B2C eCommerce/ Services, Intellectual Property, including registrations/applications, assessments and/ or assignments, Copyright, Trademark, Trade Secret, Patentability Assessment only-will refer for prosecution, General Corporate, Incorporations/ Organizations of entity, Corporate books, Due Diligence Assessment, Commercial Lease Assessment, Asset Purchase Agreements

“My technology background is an asset in much of the work I do for clients, but it’s my broader combination of business and legal experience that really makes headway in difficult situations,” says Kate. “Being able not only to see transactional issues from both perspectives, but having the ability to explain those issues to parties who only know one or the other side of the equation enables me to resolve issues quickly and efficiently.”
