I am a Louisiana native, who worked as the research assistant to the senior Tax Professor in law school.
I moved to Memphis after finishing tax school in Boston. I came here to do Planned Giving work at a local college. Thereafter was the Advanced Marketing Director at a life insurance company before moving into the trust business. I was a Trust and Compliance Officer at a local bank, then manager of the employee benefits/IRA department of the trust division of another bank. Ultimately, I entered private practice, and because of my unique/different background do a lot of planning for small business owners, coordinating their business succession plans with their personal estate plans.
Business Succession planning encompasses both tax, estate, and trust planning with probate practice, but add the business transaction aspects to my practice. We may use one or a combination of tools to transition a business to unrelated key employees and/or children, while accounting for the "equitable" treatment of the non-participating heirs. We use buy-sell agreements, non-compete and confidentiality agreements with stock bonus, or phantom stock plans, non-qualified deferred compensation plans, and favoring certain "key" employees in qualified retirement plans, to facilitate the transfer at the appropriate time, of the business interest while retaining important "key" people at the business.
