About MeI am a 12 year business attorney specializing in helping small to medium sized businesses to raise capital. 50% of my clients are looking to raise capital for the their business and the other 50% I serve as legal counsel on general matters, such as choice of corporate entity, shareholder and operating agreements, joint venture agreements, contract review, employment agreements and the like. I represent start-up, small and medium sized businesses. I am not industry specific, and my clients range geographically from NY to LA. For example, I represent a shoe company in NY, an apparel company in Atlanta, and an internet company in LA.
With respect to my background, I worked at top tier law firms, served as president and legal counsel to a venture capital firm, and served as corporate counsel to a company that I helped to take public as president of the venture capital firm. I left all of that to bring high level legal analysis to start up, small and medium sized businesses who are looking to raise capital.
So what I work with entrepreneurs on is to create a strategy which we can approach the investor community, including creating a one page document, coaching the entrepreneur through the fundraising process, and sitting in on conference calls with entrepreneurs. One of the benefits of corporate counsel is that not only protecting the company on conference calls, but it speaks to the judgment of management that it would have corporate counsel. It creates a sense of fiduciary responsibility among the entrepreneur and the investors know they can get a deal done right away. |
